By submitting your work(s) to Microcinema International (MC), and upon the acceptance into INDEPENDENT EXPOSURE or any MC-produced festival, by written notification from MC, you (OWNER) hereby agree to the terms below:

Microcinema International is granted the following NON-EXCLUSIVE RIGHTS to:

1) NON-THEATRICAL EXHIBITION IN MICROCINEMA's TOURING FILM FESTIVAL INDEPENDENT EXPOSURE S and OTHER NON-THEATRICAL EXHIBITIONS (Mobile Exposure, or other future FESTIVALS) produced by MC. This includes exhibition and/or exploitation of the Work(s) in any venue, including, but not limited to, motion picture cinemas, media-access centers, public spaces, and screening venues or "microcinemas." These exhibitions may generate fees that will be used in Royalty calculations per below.

2) NON-THEATRICAL EXHIBITION in FILM, VIDEO and DIGITAL FESTIVALS – only as part of a "sidebar" program to the festival and only as part of a compilation of other MC Work(s) programming. MC is not a film festival entry service and will not be entering the Work(s) individually into any competitive or non-competitive festivals – unless solicited to do so by a festival, and with written permission from the OWNER. These exhibitions may generate fees that will be used in Royalty calculations per below.

3) NON-COMMERCIAL EXHIBITION ON MICROCINEMA.COM WEBSITE for promotional purposes, archival purposes, or for any on-line festival on Microcinema.com or MC’s other websites. Non commercial is defined here to mean STREAMED at no cost to viewer and also not for sale (even for free) over the web as a DOWNLOAD.

4) NON-COMMERCIAL/PROMOTIONAL EXHIBITION via wireless or mobile telephony. (Only in the case of a mobile film-festival or other mobile event). Non commercial is defined here to mean not for sale (even for free) over a mobile phone network.

TERM: the Term of the Agreement shall be 3 years from the date of ACCEPTANCE by MC. Upon expiration of the initial term, the agreement shall automatically renew for successive 3-year terms, unless OWNER provides notice of termination, in writing, at least 30 days prior to such expiration date.

TERRITORY: The territory of the Agreement shall be the World.

PAYMENTS: MC shall pay OWNER a $50 honorarium/advance on royalties. Microcinema will also pay royalties on any festival/non-theatrical fees collected during the Term. MC will pay 30% of the Gross fees collected. If your film is part of a compilation the 30% of gross fees (Royalty Pool) will be divided among the other films in the compendium on a minute-weighted basis (for example if your film is 10 minutes on a 100 minute compilation, you will receive 10% of the Royalty Pool for that event). The $50 honorarium will act as an advance on these royalties.

Microcinema will contact OWNER if we are interested in a commercial distribution agreement.

OWNER agrees that it has all rights to enter into this agreement, specifically to exhibit works at non-theatrical festivals ("festival rights"), and that the licensed uses and requested uses do not violate any law nor infringe the copyright, trademark, publicity rights, proprietary contract rights, moral, or privacy rights or any third party right and do not defame any person. OWNER will indemnify and hold harmless MC against all reasonable damages and costs incurred by MC due to claims of infringement of any patents, copyrights, trademarks, trade secrets, or other proprietary rights in the production of the Work(s).
